It is the process by which companies, financial institutions, or governments make financial instruments available to the market in order to raise funds from investors. These instruments can include shares, bonds, participating securities, among others.

Through this mechanism, issuers seek to attract capital by offering investors benefits such as ownership rights in a company or project, or periodic economic returns derived from their share of profits.

More than a simple offering of financial instruments, an issuance represents a structured process that reflects the issuer’s strategy, soundness, and long-term vision. Understanding how it works, its implications, and the factors that influence each stage is essential for any participant in the financial ecosystem, whether as an issuer or an investor.

What are issuances for?

Securities issuances serve various strategic objectives, including:

Financing new projects: They allow companies and investment vehicles to expand, build new facilities, or invest in growth opportunities.

Refinancing existing debt: They help improve borrowing conditions by accessing better interest rates or more favorable repayment terms.

Increasing working capital: They provide liquidity to meet day-to-day operating needs.

Optimizing the financing structure: They facilitate diversification of funding sources between debt and equity, strengthening the organization’s financial position.

How is a securities issuance carried out?

The issuance process can vary depending on the jurisdiction and the type of financial instrument, but in general terms it follows these steps:

1. Planning and structuring: The issuer defines the amount of capital it wants to raise, selects the type of financial instrument it will offer, and sets its main terms (maturity, interest rate, equity stake, among others).

2. Obtaining authorizations: Regulatory requirements must be met and the necessary approvals obtained from the relevant authorities. In Colombia, this is overseen by the Financial Superintendence.

3. Publication of the offering prospectus: A detailed document is prepared containing all relevant information for potential investors, including associated risks, expected returns, and the intended use of the funds raised.

4. Placement in the market: The securities are offered to investors through public mechanisms (accessible to all types of investors) or private mechanisms (targeted at a specific group of participants). In Colombia, for issuers listed on the equity trading system, placement is carried out through Brokerage Firms in their role as capital market intermediaries.

5. Trading and follow-up: Afterward, the securities can be traded on stock exchanges or in secondary markets, depending on their characteristics. The issuer must also maintain ongoing communication with investors, complying with periodic disclosure and reporting obligations.

Securities issuances are a fundamental engine for economic growth. They allow companies, funds, and projects to access fresh capital, investors to diversify their portfolios, and the capital market to remain dynamic and competitive.

For investors, issuances offer new alternatives for investing their money and obtaining attractive returns. However, they also carry risks. It is essential to analyze the issuer’s financial soundness, its management track record, and its ability to generate sustainable income.

The specific terms of the issuance should also be evaluated: the type of financial instrument offered (shares, bonds, participating securities), the maturity, the expected interest rates or dividends, and the associated risks, such as credit or market risk.

Una emisión de valores es uno de los pilares del mercado de capitales.
