Real estate securitization: an efficient strategy for investing in property
Investing in real estate has traditionally been one of the most solid alternatives for preserving and growing wealth. Investors would typically access this market by directly purchasing properties for lease or resale, or by participating in development projects. However, over roughly the past two decades, a more efficient and accessible mechanism has become established in Colombia: real estate securitization.
What is real estate securitization?
Real estate securitization is a financial process by which real estate assets such as corporate buildings, shopping centers, hotels, or logistics centers are transformed into securities that can be traded in the capital market. In other words, it can be thought of as taking a pool of real estate assets and dividing it into securities representing equal shares that can be acquired by investors.
These securities grant investors a proportional stake in the asset portfolio, allowing them to access the benefits of being co-owners of high-specification real estate assets without having to acquire each property directly or take on its operational management or associated expenses.
How does a securitization structure work?
The process begins with an originator that transfers the assets to a securitization trust. This trust, managed by a specialized entity, is responsible for managing the assets, collecting lease income, carrying out maintenance, and ensuring compliance with financial and tax obligations.
The trust then issues securities that are offered in the market through public issuances. Investors who acquire these securities receive, in proportion to their stake, the cash flows generated by the assets’ lease payments and benefit from the appreciation of the properties over time.
Main advantages of real estate securitization
Real estate securitization offers multiple benefits both for investors and for the originators of the assets:
- Access to the real estate market: This investment mechanism allows investors to access the real estate sector without having to commit the large amount of capital usually required to purchase a physical property such as a warehouse, eliminating the barriers and costs associated with maintaining and managing real estate.
- Portfolio diversification: The pool of real estate assets is typically diversified across different asset types (offices, retail units, warehouses, health centers, among others), different sectors of the economy (commerce, industrial, financial, retail, hospitality), and different geographic locations, which helps mitigate risk.
- Efficient management: Unlike a direct investment in properties, investors in securitization are not responsible for the direct management of the properties, as this is handled by a professional manager. This makes the investment more accessible for those seeking real estate options without taking on direct asset management.
- Strength of the real estate underlying asset: Since the assets backing the securities are tangible properties, there is a natural mitigation of risk, as it is unlikely that all assets would suffer significant losses in value simultaneously. Additionally, the inclusion of assets from different categories contributes to greater portfolio diversification. In this way, a potential vacancy in an office building can be offset by stable occupancy in warehouses or retail units, helping to stabilize the cash flow generated by the portfolio.
- Business growth potential: Securitization is a source of financing that allows capital to be raised quickly. This capital can be used to expand the business, make improvements to the properties, or reduce debt.
