Pei Corporate Governance

Pei’s management and operations are carried out under a corporate governance framework that involves various bodies and entities responsible for its management and oversight.
This model integrates control and risk management mechanisms aimed at monitoring the vehicle’s performance and the proper administration of the assets that comprise its portfolio.
Real Estate Manager
The real estate manager is responsible for the management of the vehicle and the real estate assets that make up its portfolio. Since its inception, this role has been performed by Pei Asset Management, a company specializing in the structuring and administration of real estate investment alternatives, comprised of a team with extensive experience in the real estate sector and capital markets.
General Assembly of Investors
The General Assembly of Investors is Pei’s highest decision-making body and is composed of the vehicle’s investors.
Advisory Committee
Pei has an Advisory Committee responsible for analyzing and making decisions on strategic issues of the vehicle, such as asset acquisition, indebtedness, issuance of securities, and distributable cash flow, among other relevant matters.
The committee has a mixed composition, made up of independent members, who represent the majority, and members of the Real Estate Manager.
Managing Agent
The Management Agent is the entity responsible for administering the autonomous trust Pei and executing the functions established in the Prospectus of Issuance and Placement of Securities. This function is performed by Fiduciaria Aval, responsible for making the planned investments approved by the Advisory Committee, acting as the spokesperson for the autonomous trust before investors, tenants, and third parties, and collecting the resources of the issuance program.
Legal Representation of Investors
The Legal Representative of Investors is the entity responsible for safeguarding the common rights and interests through collective representation of the investors in the vehicle’s Participating Securities. Currently, this function is performed by Fiduciaria Colombiana de Comercio Exterior S.A. – Fiducoldex.
Legal Representation of Bondholders
The Legal Representative of Bondholders represents bond investors in the exercise of their rights and in the defense of their common interests. Currently, this function is performed by Itaú Fiduciaria Colombia S.A.
Statutory Auditor
Pei has an independent statutory auditor responsible for examining the vehicle’s financial information and verifying compliance with applicable regulations. Currently, this function is performed by Ernst & Young Colombia.
