Bogotá, September 2020, 29. The Pei investors chose Fiducoldex as their legal representative at the second call of the Pei Investor Ordinary General Assembly meeting (2020).
According to the issuance prospectus of equity securities (TEIS), the election required a vote in favor of Fiducoldex from more than 40% of the TEIS in circulation, but the results showed that 70.53% of the circulating shares voted in favor of Fiducoldex.
Fiducoldex is a financial services company with over 27 years of experience. It was established in 1992 as a mixed-ownership company belonging to the Bancoldex Group. Additionally, it has extensive experience in managing private equity funds and administering securities issuances.
The new legal representative for the TEIS investors replaces Fiduciaria Colmena in this role, which they held for 13 years. Pei Asset Management, the fund’s administrator, thanked them for their support and commitment.
The Legal Representative of the Investors plays a very important role in the corporate governance of Pei, as they participate with voting rights on the Advisory Committee, manage the process of convening and holding investor meetings, and provide a clear and efficient channel for the growing portfolio of investors to communicate, express, and represent their common interests.
For his part, Jairo Corrales, president of Pei Asset Management, stated: “This election by the Investor Assembly is crucial for ensuring that the company’s corporate governance continues to be one of its main strengths in the market and for further strengthening the closeness and trust of investors.”
The second regular meeting of investors for Pei 2020 was held for the 4,500 investors in the fund. A quorum of 76.67% of outstanding shares was achieved during the session.
